Support during the sales process
A seller strives for an efficient sale process with minimal disruption to business operations. At the same time, it is important to have multiple interested parties making serious bids to maximise the probability of success and achieve an optimal sale price. We assist with this through two forms of vendor support:
Vendor assistance (VA): a targeted due diligence investigation for the benefit of the seller, where we determine together how detailed we will be and which investigation we leave to the candidates themselves.
Vendor due diligence (VDD): an extensive, independent due diligence investigation carried out on behalf of the seller for the benefit of potential buyers and on which the buyer may rely (reliance).
Both forms of vendor support increase the probability of multiple parties submitting a well-considered bid and reduce the risk of price adjustments.

Vendor assistance
Vendor assistance (VA) is a tailored due diligence investigation, aligned with the company and the seller's principles. VA ensures a controlled sales process:
With VA, we provide a consistent, like-for-like dataset and a solid financial foundation upon which to start the sales process.
The seller retains control: risks are identified in good time and addressed in the right way, and opportunities are highlighted.
Potential buyers remain involved in the process longer, as exclusivity is granted to a prospective buyer at a later stage.
With VA, buyers still need to conduct additional research, but the solid foundation from the VA limits the scope and the burden on the company.

Vendor due diligence
This independent due diligence study is considered a standard in the market. A VDD is commissioned by the seller and tailored to the needs of potential buyers. The costs are borne by the seller, but so are the benefits:
A VDD provides an independent view of the business on which interested buyers can rely. This increases the chances of multiple parties making an informed offer.
The seller retains control over the sales process. All relevant points of attention are identified, both positive and negative, reducing the chance of subsequent price adjustments.
Just as with VA, VDD allows exclusivity to be granted to an aspiring buyer at a later stage.
A VDD saves a lot of time. The seller undergoes one thorough review, which limits the disruption to business operations.
A VDD reduces the risk of price adjustments to a greater location than VA because VDD is more comprehensive in terms of topics and depth. Due to our independent role, the focus in VDD is on objectively mapping out the business, and less on compiling consistent data.
